[A] Budget: Looking for Proposals
[B] Scope of Service:
Vendor needs to provide mixed-finance redevelopment initiatives legal services to the government authority located in Memphis, TN.
l) Advise and represent the in-contract negotiations with various developers, contractors, program manager(s); HI_JD, City of Memphis Bond Counsel, and other development.
2) Draft documents necessary to delineate and formalize the roles of the MHA and its development partner(s); program manager(s), the City of Memphis, and other key development partners.
3) Draft and/or review documents and advise relative to compliance with all local, state, and federal requirements including, but not limited to, procurement, zoning, environmental, applicable tax codes, CHOICE NEIGHBORHOODS Program Guidelines, Multifamily Housing Revenue Bond guidelines, Low Income Housing Tax Credit (LIHTC) guidelines, HOME, CDBG, historic preservation and public housing funding, etc.
4) Draft and/or review appropriate legal documents as needed, including, but not limited to those involving the transfer, ownership and control of real estate, the contracting of architectural construction, and other services, the formation of organizational partnerships, compliance with local, state and federal regulations, etc.
5) Draft and/or review other relevant documents and advise relative to all phases of public and private finance packaging, which may involve municipal, state or federal funds, low income and historic tax credit syndication, new markets tax credits, tax increment financing and bonding and conventional mortgages, as requested.
6) Draft and/or review all relevant CHOICE NEIGHBORHOODS and Mixed-Finance, LIHTC, New Markets Tax Credits, bond and TIF related documents.
7) Participate in predevelopment team meetings by conference call or in person, as necessary
8) Ensure that the development agreement and related legal documents meet requirements for CHOICE NEIGHBORHOODS and other mixed-finance and Tax Credit projects.
9) Provide MHA with sound, realistic and defendable legal options and/or recommendations to achieve the Agency's redevelopment goals.
10) Draft, present and/or review recommendations on the mixed-finance process, the proposal and associated evidentiary documents associated with Financial/Real Estate Closings including, but not limited to the following:
- Regulatory and Operating Agreements
- Declaration of Restrictive Covenants
- Management Agreements
- Master Developer Agreements
- Partnership Agreements
- Other relevant documents
11) Initiate, structure, and conduct project closings including, but not limited to, related acquisitions of real estate (improved and/or unimproved) for replacement housing purposes. The Legal Consultant will draft appropriate documents and/or advise the MHA on strategies necessity in structuring and executing agreements relevant to replacement housing and other real estate transactions including various financing activities.
12) Assist in the development of a realistic schedule for all mixed-finance closings for each phase of the project.
13) Draft the necessary legal documents on behalf of the MHA and review legal documents initiated and submitted by the developer.
